Are all of IKON’s Directors independent?
| Other than Matthew J. Espe, all of IKON Directors are independent under NYSE guidelines. Matt Espe, who joined IKON as President and CEO in August, 2002, was appointed to IKON's Board of Directors in September 2002. He was elected Chairman of the Board in February 2003 to replace James J. Forese who retired. |

Does IKON have an internal audit function?
| Yes. The daily operations of Internal Audit are the responsibility of the Chief Financial Officer, and the Audit Committee meets independently with the Vice President, Internal Audit on a quarterly basis. |

Does IKON have an environmental policy?
IKON presently is engaged in distribution and services businesses which do not generate significant hazardous wastes. Some of IKON’s distribution facilities have tanks for storage of diesel fuel and other petroleum products which are subject to laws regulating such storage tanks. Federal, state and local provisions relating to the protection of the environment have not had and are not expected to have a material adverse effect upon the Company’s capital expenditures, liquidity, earnings or competitive position.
